End User License Agreement
This End User License Agreement (the “Agreement”) sets forth the terms and conditions governing your access to and use of video games, products, content, and services provided by Elite Sports Gaming LLC, together with its subsidiaries and affiliates (collectively, “ESG”). These include, without limitation, ESG’s game software, related updates, upgrades, features, and all associated online and mobile services, platforms, websites, and live events (collectively, the “ESG Services”).
By accessing or using any ESG Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you do not agree to these terms, you may not install, access, or use ESG Services.
1. ESG Account Requirements and Responsibilities
To access and use certain ESG Services, including online gameplay, you must create and maintain an active ESG Account.
A. Account Eligibility
To register for an ESG Account, you must provide a valid email address and meet the eligibility criteria for the specific ESG Service you intend to use. ESG Services are only available to residents of countries where their use is legally permitted.
B. Age Requirements
You must be at least 13 years of age (or the minimum age required by your country of residence) to create an ESG Account. If you are under 18 years of age (or the age of majority in your jurisdiction), you and your parent or legal guardian must review and agree to this Agreement together. Parents and guardians are responsible for all activities conducted by minors under 18 years of age when using ESG Services. ESG strongly recommends that parents and guardians familiarize themselves with parental control settings on any devices used by minors.
C. Account Security and Responsibility
You are solely responsible for all activity on your ESG Account. Your account is personal to you and may not be shared. Unauthorized use of your account, including by others engaging in conduct that violates this Agreement, may result in suspension or termination of your ESG Account.
D. Account Cancellation
You may cancel your ESG Account or any subscription to an ESG Service at any time by contacting ESG Customer Support at info@elitesportsgaming.com. ESG reserves the right to charge any applicable fees or costs incurred before cancellation, including outstanding amounts owed to third-party vendors or content providers, where permitted by law.
2. License Grant and Restrictions
ESG Services are licensed, not sold, to you. Subject to your compliance with this Agreement, ESG grants you a personal, limited, non-exclusive, non-transferable (i.e., not for sharing), and revocable license to access and use the ESG Services for your own non-commercial purposes.
Restrictions
Unless expressly authorized by ESG or permitted by applicable law, you may not:
Copy, modify, distribute, publicly display, or create derivative works of any ESG Services, Content, or Entitlements (as defined below);
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying components of any ESG Service; and
Access or use ESG Services in a manner that violates any applicable laws, regulations, or this Agreement.
All rights not expressly granted herein are reserved by ESG and its licensors, including all right, title, and interest in the ESG Services and associated intellectual property.
3. Content and Entitlements
The ESG Services include Content and Entitlements, as defined below:
A. Content
“Content” includes, but is not limited to, all software, technology, text, forum posts, chat posts, profiles, widgets, messages, links, emails, music, sound, graphics, images, video, code, and any other audiovisual or interactive materials originating from or made available through ESG Services. This also includes the design, layout, and overall appearance of ESG’s websites and platforms.
Content further includes user-generated content (“UGC”), which encompasses, without limitation:
ESG Account personas, usernames, and profiles;
Forum posts, messages, and other textual contributions;
Audio, including a player’s voice or other transmitted sounds via social features;
Images, videos, and other visual materials submitted or shared through ESG Services.
All Content is either owned by ESG or its licensors or is licensed to ESG and its licensors as set forth in Section 5 of this Agreement.
B. Entitlements
“Entitlements” refer to rights licensed by ESG to you, granting access to certain online or offline elements of ESG Services. Entitlements include, but are not limited to:
Digital or unlockable content;
Additional or enhanced functionality (e.g., multiplayer services);
Subscriptions;
Virtual and/or digital assets;
Unlock keys, serial codes, or online authentication methods;
In-game accomplishments; and
Virtual points, coins, or currencies (“ESG Virtual Currency”).
C. ESG Virtual Currency
When you obtain ESG Virtual Currency from ESG or its authorized partners, you receive a personal, limited, non-transferable, non-assignable, non-exclusive, and revocable license to use it solely for redeeming Entitlements within ESG Services.
No Monetary Value: ESG Virtual Currency has no real-world monetary value and cannot be sold, traded, transferred, or exchanged for cash or any value outside ESG Services.
Non-Refundable & Non-Returnable: ESG Virtual Currency is non-refundable, and any unused balance does not entitle you to a refund. Once ESG Virtual Currency is redeemed for an Entitlement, such Entitlement is not returnable, exchangeable, or refundable.
Japan-Specific Provision: If you reside in Japan, you agree to use any ESG Virtual Currency within 180 days from the date of purchase.
D. User Responsibility
You are solely responsible for obtaining and maintaining, at your own expense, the necessary hardware, software, internet connection, and any associated service fees required to access and use ESG Services.
4. Availability of ESG Services and Updates
A. No Guarantee of Availability
ESG does not guarantee that any ESG Service, Content, or Entitlement will be available:
At all times or in all locations;
On all devices or through all internet service providers;
For any specific duration.
ESG reserves the right, at its sole discretion, to discontinue, modify, or limit access to any ESG Service, Content, or Entitlements at any time, without liability.
B. Updates, Modifications, and Content Removal
From time to time, ESG may update or modify ESG Services, Content, or Entitlements. You acknowledge that:
These updates may be required to continue using ESG Services.
ESG may remove, disable, or restrict access to certain Content or Entitlements without prior notice due to legal, contractual, or licensing obligations, technical limitations, or concerns regarding ESG’s reputation.
ESG reserves the right to adjust, balance, or reset certain gameplay parameters to maintain fair usage and game integrity, which may impact your progress, characters, groups, or other Entitlements.
C. Account Actions and Security Measures
ESG may take actions on your ESG Account and Entitlements without prior notice to protect you, ESG, or its services. Such actions may include, but are not limited to:
Preventing unauthorized access;
Resetting account passwords;
Suspending or restricting ESG Account access;
Deleting data; and
Removing ESG Accounts from ESG Services.
Additionally, ESG may restrict or suspend access to ESG Services if there is actual or suspected violation of ESG’s Rules of Conduct, as further described in Section 6.
5. Your User-Generated Content (UGC)
A. Responsibility for UGC
You are solely responsible for any User-Generated Content (“UGC”) you submit, upload, post, transmit, or otherwise make available through ESG Services. By submitting UGC, you represent and warrant that:
Your UGC does not infringe any third party’s intellectual property rights, privacy rights, publicity rights, or violate any applicable laws or this Agreement.
Your UGC complies with all applicable laws and regulations and does not contain defamatory, obscene, unlawful, or otherwise objectionable material.
ESG does not pre-screen UGC, nor does it endorse or approve any UGC made available on ESG Services. ESG assumes no responsibility or liability for any UGC, including for failing to remove, modifying, or deleting any UGC.
B. ESG’s Rights to Remove or Modify UGC
ESG reserves the sole discretion to remove, edit, disable, or restrict access to UGC for any reason, including if ESG determines that the UGC:
Violates this Agreement, applicable laws, or third-party rights;
Is harmful, inappropriate, or otherwise objectionable;
Could negatively impact ESG’s reputation or operations.
C. License Grant to ESG
By submitting or making UGC available through ESG Services, you grant to ESG, its licensors, and licensees a non-exclusive, irrevocable, perpetual, worldwide, transferable, sublicensable, and royalty-free license to:
Use, host, store, reproduce, modify, create derivative works from, publicly perform, publicly display, distribute, or otherwise transmit your UGC, in whole or in part, in any medium or format, now known or later developed.
Use your UGC for any purpose, including promotional, commercial, or operational use, without notice, attribution, compensation, or obligation to you or any third party.
D. License Grant to Other Users
To the extent that ESG Services allow other users to access your UGC, you also grant all such users a non-exclusive, worldwide, royalty-free license to use, copy, modify, distribute, display, perform, create derivative works from, and otherwise communicate your UGC through ESG Services, without further notice, attribution, or compensation to you.
6. Rules of Conduct
When accessing or using any ESG Service, you agree not to engage in any of the following prohibited activities:
A. General Prohibitions
Violate any applicable law, rule, or regulation.
Interfere with or disrupt ESG Services, servers, or networks, including through hacking, cracking, denial-of-service (DoS) attacks, or unauthorized modifications.
Use software, bots, or programs that cause damage, interference, or disruption, including but not limited to spamming, phishing, malware, viruses, worms, Trojan horses, spyware, cancelbots, corrupted files, or time bombs.
Impersonate another person or falsely imply that you are an ESG employee or representative.
Engage in fraudulent activities related to ESG Services, including unauthorized purchases, chargebacks, or refund abuse.
Use or distribute counterfeit software, unauthorized third-party tools, macros, cheats, exploits, or hacks.
Modify or reverse-engineer any file, program, or content from ESG Services unless expressly authorized.
B. Disruptive and Abusive Conduct
Harass, threaten, bully, spam, or engage in hateful, discriminatory, or inappropriate behavior toward any player, ESG employee, or ESG representative.
Disrupt another player’s experience, including excessive shouting (all caps), flooding chat, spamming, or using vulgar, harassing, or abusive language.
Organize, promote, or participate in any group, guild, or activity that is offensive, defamatory, obscene, sexually explicit, infringing, privacy-invasive, or otherwise objectionable.
Publish, post, or distribute illegal content or content you do not have the rights to distribute.
Post messages unrelated to personal communication, including advertisements, spam, chain letters, pyramid schemes, or commercial solicitations.
C. Unfair Play and Unauthorized Transactions
Engage in cheating or anti-competitive behavior, including boosting, collusion, match-fixing, or manipulating matchmaking systems.
Buy, sell, share, trade, or transfer ESG Accounts, virtual items, Entitlements, or Virtual Currency, unless explicitly permitted by ESG.
Attempt to phish, steal, or solicit account credentials or private information from other users.
Use unauthorized payment methods to purchase or access ESG Services, or engage in fraudulent chargebacks.
D. Unauthorized Access and Privacy Violations
Use robots, spiders, or automated tools to scrape data, create accounts, or manipulate ESG Services.
Attempt to bypass geographical restrictions or use a VPN or proxy to access ESG Services from unauthorized locations.
Use publicly available user information (such as leaderboards) for any purpose outside of ESG Services, including attempts to identify users in real life.
Record, distribute, or publicly share communications or UGC from ESG Services without proper authorization.
E. Enforcement and Reporting
ESG may monitor, record, and review in-game chat, voice communications, and other UGC to enforce these Rules of Conduct.
ESG reserves the right to remove, modify, or restrict access to any content, accounts, or Entitlements that violate this Agreement.
Violations may result in suspension or termination of your ESG Account, as outlined in Section 8.
If you encounter a violation, report it to info@elitesportsgaming.com.
Your use of ESG Services is subject to ESG’s Privacy and Cookie Policy, which can be found at www.elitesportsgaming.com. By using ESG Services, you consent to any necessary monitoring, recording, or enforcement actions related to these Rules of Conduct.
7. Games
This section applies to ESG’s video games and game subscriptions, including ESG video games that run on personal computers and other authorized platforms (collectively, "ESG Games").
A. License and Authentication
ESG grants you a limited, non-exclusive, non-transferable, revocable license to access and use ESG Games strictly in accordance with this Agreement.
Any attempt to circumvent, disable, tamper with, pirate, copy, or otherwise use ESG Games in an unauthorized manner will result in the immediate termination of this license.
Access to ESG Games requires:
An active ESG Account.
Acceptance of this Agreement.
A stable Internet connection for license verification ("Authentication").
B. Updates and Modifications
ESG Games may automatically download and install updates, upgrades, patches, and additional features to improve performance, add content, or maintain security.
You agree that ESG is under no obligation to support previous versions of ESG Games once an update, upgrade, or new feature is implemented.
Continued use of ESG Games after an update constitutes acceptance of any changes made to the software or service.
8. Termination and Other Sanctions
This Agreement remains in effect until terminated by either you or ESG.
A. Termination by ESG
ESG reserves the right to terminate your access, ESG Account, or use of ESG Services if:
You violate this Agreement.
ESG detects unlawful, improper, or fraudulent use of ESG Services associated with your account.
Whenever practical, ESG will notify you of account termination. However:
You may lose your username, persona, and associated Entitlements.
If you have multiple ESG Accounts, ESG may terminate all related accounts depending on the severity of the violation.
Once terminated, you will no longer have access to your ESG Account or any associated ESG Services, Content, or Entitlements.
Your license under this Agreement automatically terminates upon account termination.
B. Alternative Sanctions
Instead of termination, ESG may:
Issue a warning.
Suspend or restrict your access to specific ESG Services or your ESG Account.
Revoke or remove Entitlements at the account or device level.
Remove or delete Content that violates this Agreement.
Ban your device or machine from accessing ESG Services.
These actions may be cumulative, and repeated violations may lead to full account termination.
No Refunds or Compensation: If ESG takes any action under this Section, you are not entitled to a refund, credit, or reimbursement, except as required by applicable law.
C. Termination of ESG Services
ESG may terminate any ESG Service at any time.
After termination, ESG:
Will not provide software updates for affected games.
Cannot guarantee compatibility with future operating systems or platforms.
May remove ESG Games from application distribution services without notice.
D. Termination by You
You may terminate this Agreement at any time by ceasing all use of ESG Services.
E. Survival of Terms
The following Sections of this Agreement remain in effect after termination: 5, 8-9, 11-15.
9. Data Usage
When you use an ESG Service, ESG may collect and store data from your computer or device, including:
Device Information: Hardware details, installed software, operating system, IP address, and device ID.
Usage Data: ESG Service interactions, gameplay statistics, system interactions, and peripheral hardware usage.
Offline Data: If you use an ESG Service offline, relevant data will be stored on your device and transmitted to ESG once you reconnect to the Internet.
A. How ESG Uses Your Data
ESG collects and processes this data to:
Operate and improve its products and services.
Enhance your user experience, including troubleshooting and bug fixes.
Provide software updates and dynamically serve content.
Enforce this Agreement and ensure fair play.
Communicate with you, including for marketing purposes.
B. Online Gameplay and Publicly Shared Data
If you participate in ESG’s online services, ESG may:
Collect, use, store, transmit, and publicly display gameplay statistics, including scores, rankings, and accomplishments.
Identify and share user-generated content (UGC) created by you with other players.
C. Data Storage and Processing Location
All collected data is stored and processed in the United States in accordance with ESG’s Privacy and Cookie Policy.
10. Other Software, Utilities and Tools
ESG Services may require or allow you to download software, updates, patches, or other utilities and tools from ESG or its licensors onto your computer, entertainment system, or device. These technologies may differ across platforms, and the performance of ESG Services may vary depending on your equipment.
A. Software Updates and Patches
Certain updates to these technologies may be required for continued access to ESG Services. Some updates may include locked features or content that requires an additional fee to access.
B. Automatic Installation
You consent to ESG automatically installing any available updates for ESG Services on your device. Failure to install these updates may result in ESG Services, including ESG Games, becoming unplayable.
11. Third Parties
Some ESG Services may allow you to play on servers not owned or controlled by ESG. ESG does not manage these third-party services and is not responsible for your use of ESG Services through them. These third-party services may have additional terms and conditions that you must follow.
Additionally, ESG Services may contain links to third-party websites. These sites may collect your data or request personal information. ESG does not control these sites and is not responsible for their content or the collection, use, or disclosure of personal information on those sites.
12. Warranties; Limitation of Liability
To the fullest extent permitted by applicable law, ESG makes no express, implied, or statutory warranties, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement of third-party rights, and warranties arising from a course of dealing, usage, or practice. ESG does not guarantee:
That your enjoyment of the product or ESG Service will be uninterrupted.
That ESG Services will meet your requirements.
That ESG Services will be free from errors, bugs, corruption, loss, interference, hacking, or viruses.
That ESG Services will be compatible with other software.
That third-party products or services will be reliable.
A. Residential Distinctions:
For Residents in the European Economic Area, United Kingdom, or Switzerland: ESG, its employees, licensors, and business partners will not be liable for any losses or damages arising from your actions or breach of this Agreement, or due to acts or omissions of third parties beyond ESG's control.
For Residents Outside the European Economic Area, United Kingdom, and Switzerland: To the fullest extent permitted by law, ESG and its employees, licensors, and business partners will not be liable for any losses not caused by ESG’s breach of this Agreement, nor for indirect, incidental, consequential, punitive, or special damages. These include, but are not limited to, financial loss (e.g., loss of income or profits), cost of substitute goods or services, business interruption, data loss, loss of goodwill, or computer malfunctions.
For Residents in the European Economic Area, United Kingdom, or Switzerland: ESG Services will be provided with reasonable care and skill, but no other promises or warranties about ESG Services are made.
For Residents Outside the European Economic Area, United Kingdom, and Switzerland: ESG Services are licensed and provided "as is." You use them at your own risk.
These limitations of liability apply to all claims arising from or related to this license or ESG Services, whether based in contract, tort, statute, strict liability, or otherwise, and even if ESG knew or should have known about the possibility of such damages. Your recovery is limited to direct damages in an amount no greater than what you actually paid for the applicable ESG Service.
13. General Terms
A. Entire Agreement
This Agreement, along with any other ESG terms that govern your use of ESG Services, forms the entire agreement between you and ESG. The Agreement can only be amended or modified in writing and signed by ESG.
If ESG does not exercise any right under this Agreement, it does not waive that right or any other rights.
If any part of this Agreement is deemed unenforceable, the rest of the Agreement will remain in full force and effect.
B. Dispute Resolution
The Parties shall attempt to resolve any dispute arising out of or relating to this Agreement through amicable negotiations amongst the Parties. If the matter is not resolved by negotiation, the Parties shall resolve the dispute using the arbitration procedures described herein.
C. Arbitration
Any controversy or dispute arising out of or relating to this Agreement shall be submitted to final and binding arbitration under the rules of the American Arbitration Association. The arbitrator’s award will be final, and judgment may be entered upon it by any court having proper jurisdiction within the State of New York.
D. Governing Law
The validity, performance, construction, interpretation and effect of this Agreement shall be governed by, construed and enforced in accordance with the internal laws of the State of Delaware (without regard to its conflict of laws principles).
E. Export
You agree to comply with U.S. and other export control laws and not transfer any ESG Service to a foreign national or destination prohibited by these laws. You also confirm that you are not a person with whom ESG is prohibited from doing business under these export control laws.
F. Severability
In the event any portion of this Agreement is deemed unenforceable, the remainder of this Agreement will be enforceable.
14. Changes to this Agreement
ESG reserves the right to modify this Agreement at any time. Any changes will be effective once the updated version is posted on www.elitesportsgaming.com or through ESG Services. You should regularly review this Agreement, as your continued use of ESG Services after changes are made indicates your acceptance of those changes. If you do not agree to the revised Agreement, you should stop using ESG Services immediately.
15. Class Action Waiver
You and ESG agree that any and all disputes between the parties shall be resolved solely through individual arbitration. Both parties expressly waive the right to have any dispute brought, heard, administered, resolved, or arbitrated as a class, collective, coordinated, consolidated, or representative action. Neither an arbitrator nor an arbitration provider shall have authority to hear, arbitrate, or administer any class, collective, coordinated, consolidated, or representative action, nor to award relief to anyone other than the individual involved in the arbitration. Both parties also waive the right to seek or obtain any non-individual relief.
16. Supplemental Terms for PlayStation®
A. For Purchases in PlayStation™Store in North America
Purchase and use of items are subject to the Network Terms of Service and User Agreement. This online service has been sublicensed to you by Sony Interactive Entertainment America.
B. For Purchases in PlayStation™Store in Europe
Any content purchased in an in-game store will be purchased from Sony Interactive Entertainment Network Europe Limited ("SIENE") and be subject to PlayStation™Network Terms of Service and User Agreement which is available on the PlayStation™Store. Please check usage rights for each purchase as these may differ from item to item. Unless otherwise shown, content available in any in-game store has the same age rating as the game.

The information we collect is used for multiple purposes, including ensuring the proper functionality of our Games. This includes providing, maintaining, and improving our Games to ensure optimal performance and User satisfaction. Customer support is another critical function that relies on collected information. We use this data to respond to inquiries, address issues, and provide assistance to Users. Personalization is another key area in which we utilize collected data, as it enables us to tailor recommendations and deliver in-game content that aligns with User preferences and gameplay history.
Security and fraud prevention are paramount to our operations. We use collected data to detect and prevent unauthorized access, fraudulent activity, and abusive behavior within our Games.
